Terms of Service

Last updated: March 20, 2026

By creating an account or logging in to Spectra, you and any entity you represent agree to the following terms. Please review these terms carefully before using the platform.

1. Acceptance of Terms

By accessing or using the Spectra platform ("Service") operated by CrimsonScan ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. Logging into the Service constitutes acceptance of these Terms.

2. Description of Service

Spectra is an AI-driven materials discovery platform that provides access to generative models for crystal and molecular structure prediction, computational analysis tools (including DFT calculations), and report generation capabilities. The Service is provided on a subscription basis.

3. Accounts and Access

You must create an account to use the Service beyond publicly available pages (documentation, benchmarks). You are responsible for maintaining the confidentiality of your account credentials. Access is scoped to your organization; data generated through the Service belongs to your organization's workspace. You must not share credentials or allow unauthorized access to your account.

4. Subscriptions and Payment

The Service is available under paid subscription plans. Pricing, seat allocations, and billing cycles are as described at the time of purchase. Payments are processed through Stripe. You authorize recurring charges for your subscription plan. Cancellation takes effect at the end of the current billing period. Refunds are provided only as required by applicable law.

5. Intellectual Property

Your data: You retain ownership of all input data, generated candidates, analyses, reports, and research notes produced through your use of the Service. CrimsonScan does not claim ownership of your generated materials or analysis results.

Pooled research data license: For plans that include pooled research data participation (see Section 9 of our Privacy Policy), you grant CrimsonScan a perpetual, irrevocable, worldwide, royalty-free license to retain and use anonymized candidate structures and associated computed properties, stripped of account, organization, user, and project identifiers, for the purposes described in that section. This license survives termination of your subscription. It does not extend to your queries, notes, reports, or uploaded files, and does not affect your ownership under "Your data" above.

Our platform: The Service, including its software, algorithms, interfaces, and documentation, is the intellectual property of CrimsonScan. You are granted a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.

Underlying models: Generative models integrated into the Service (MatterGen, IBM FM4M, GT4SD) are subject to their respective open-source licenses. CrimsonScan does not claim ownership of these models.

6. Acceptable Use

You agree not to: (a) reverse-engineer, decompile, or disassemble the Service; (b) use the Service to develop competing products; (c) circumvent access controls, rate limits, or security measures; (d) upload malicious content or attempt to compromise the platform's infrastructure; (e) use the Service for any purpose that violates applicable law.

7. Computational Resources

DFT calculations and generative model runs consume computational resources. Resource usage is subject to fair-use limits based on your subscription tier. CrimsonScan reserves the right to queue, throttle, or decline jobs that exceed plan limits. Enterprise customers may connect their own compute infrastructure ("Bring Your Own Compute") under separate terms.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available." CrimsonScan makes no warranties, express or implied, regarding the accuracy, reliability, or fitness for a particular purpose of any generated materials, predictions, analyses, or reports. Computational results (including DFT calculations, stability predictions, and property estimates) are provided for research and informational purposes. They do not constitute professional scientific advice and should be validated independently before any commercial or safety-critical application.

9. Limitation of Liability

To the maximum extent permitted by applicable law, CrimsonScan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

10. Data Privacy

We collect and process data necessary to provide the Service, including account information, usage metrics, and generated content. Data is stored in secure cloud infrastructure (Google Cloud Platform) and is scoped to your organization. We do not sell your data to third parties. For detailed information, refer to our Privacy Policy.

11. Modifications to Terms

CrimsonScan may update these Terms at any time. We will notify you of material changes via email or in-platform notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Termination

Either party may terminate the agreement at any time. CrimsonScan may suspend or terminate your account for violation of these Terms. Upon termination, you may export your data for 30 days, after which it will be permanently deleted.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
